TERMS & CONDITIONSPricing: All prices quoted are in United States dollars. Prices do not include shipping, taxes, duties, installation & training charges and or travel expenses unless stated as such. Installation times are listed for reference purposes only. Your actually installation and training time may vary from this estimate. Travel expenses will be billed separately upon competition of the installation. Additional on site training is available, invoiced separately at a rate of $1250.00/day plus expenses. Prices are exclusive of any use, sales or other tax, federal, state, or local, which has been or may be imposed with respect to the sale of personal property or services thereunder to the extent legally permissible. Any such tax is for the account of the buyer.
Delivery: Delivery is contingent upon the customer’s timely response in providing sample parts and access to the inspection area (when needed) by InoSys. Seller shall not be liable for any delays or defaults thereunder by reason of fire, flood, acts of God, labor troubles, inability to secure materials, acts of Government or other causes beyond its reasonable control. In the event of any such delay, the delivery date shall be extended for a period equal to the time lost by reason of the delay.
Machine Acceptance: Machine acceptance shall be based solely upon the ability of InoSys Vision Inspection System (s), to perform as described in the section entitled System Operation. Typically, acceptance means running the actual customer supplied test parts. The customer has ten days to respond to a test run. Operation of the system for production use also constitutes acceptance.
Operation Manual: Documentation is provided on how to setup, operate, and care for your system.
Customer Responsibilities: The customer is responsible for providing a mechanical setup of the machinery, electrical interface and connections to the machines “STOP” circuits. It is also necessary to provide appropriate personnel capable of training on a Windows style point and click environment to setup the system and cameras. When specified InoSys delivers a complete Vision System integrating both hardware and software to provide a turnkey solution. Although all efforts are made to conform to local and national codes, any additional design modifications necessary for conformance to local code requirements are not included in this quotation and are the responsibility of the customer.
Limited Warranty, Copyright & Patent Clause: This InoSys product is warranted to be free from defects in material and workmanship when used under normal operating conditions for a period of six months from the date of shipment to your plant. Normal operating conditions are specified to InoSys by the customer and are established by these parties prior to shipment of the product. Any servicing done to the product by personnel not authorized by InoSys immediately disclaims this warranty, making it null and void. InoSys is pleased to pass on to the end user any warranty offered by the manufacturer of any equipment used within our system; however, our obligation is limited to replacement of the faulty part(s), provided the product has not been misused. Our product represents technology, which is the property of InoSys, Inc., and/or the companies we represent. The manufacturing of any system components or reproduction of software is prohibited without approval and written agreement from InoSys, Inc. and the companies we represent. Companies that InoSys represents may have warranties or indemnification’s in their sales agreements to InoSys, which differ from, or in adjunct to those InoSys, Inc. offers its customers. InoSys expresses no warranties or indemnification’s other than those stated in the paragraph above however, any or all indemnification’s offered by InoSys, Inc. suppliers will be transferred to InoSys customers. InoSys customers must conform to all of the terms and conditions of the represented company(s) to insure their validity. Conditions not specifically stated herein shall be governed by established trade customs. InoSys shall not be bound to terms inconsistent with those stated in this quotation and which may appear on our customer’s formal purchase order.
Conditions: The prices and terms stated in this quotation are not subject to verbal changes or other agreements unless approved in writing by an InoSys officer. A customer requested system enhancement or alteration may necessitate an additional charge, depending on the time and/or materials required to execute the desired change(s). All quotations and agreements are contingent upon strikes, accidents, fires, availability of materials and all other causes beyond our control. Our prices are based on costs and conditions that prevail on the date of this quotation and are subject to change by InoSys before final acceptance. Typographical and stenographic errors are subject to correction. |
